The Board of Directors of Highfield Resources (the “Company”) has established high standards for the Company’s employees, officers and directors. It is the duty of the Board of Directors to oversee the management of the Company’s business and to ensure the Company as a whole and the Company´s representatives behave in a manner that is fitting of the Company´s high corporate and social responsibilities.
To discharge this duty, the Board of Directors follows the procedures and standards that are contained in the Corporate Governance Guidelines.
The Corporate Governance Guidelines are subject to modification from time to time as the Board of Directors deems appropriate in the best interests of the Company or as required by applicable laws and regulations.
Code of Business Conduct and Ethics
Highfield Resources Limited and its controlled entities (collectively, “the Group””) is committed to establishing a culture of conducting business with fairness, honesty and integrity, and which recognises ethical and responsible decision-making to achieve its business objectives. The Group is committed to achieving the highest standards of corporate conduct in its business operations, having regard to its obligations under various laws and regulations, and within the guidelines of the ASX Corporate Governance Council’s Corporate Governance Principles and Recommendations.
